These Terms of Service ("Terms") govern your access to and use of the services offered by Pediaverse Innovation Limited ("Pediaverse," "we," "our," or "us"), a company duly incorporated under the laws of the Federal Republic of Nigeria. By accessing or using our platform, you ("Client," "User," "you") agree to be bound by these Terms.

1. Overview of services

Pediaverse Innovation Limited provides online educational services tailored to K–12 students through a proprietary virtual platform. Our services include, but are not limited to:

• Subject-Specific Tutoring: Personalized lessons in core subjects such as Mathematics, Science, English, ICT, and more.
• Homework Assistance: Support in understanding and completing school assignments.
• Exam Preparation: Focused preparation for standardized and school examinations.
• Virtual Learning Support: Supplementary assistance tailored to online or hybrid learning programs.
• Extracurricular Programs: We also offer training in Coding, Data Analysis, Musical Instruments (Piano, Guitar, Violin, etc.), Foreign Languages, and any other extracurricular programs listed on our platform.

By using our services, clients (students, parents, or guardians) agree to participate in a high-quality and flexible virtual learning experience that prioritizes academic success and skill development.

2. User responsibilities

Users of the platform agree to the following:

• Access tutoring services only through the official Pediaverse Innovation Limited platform.
• Abstain from posting or sharing any material that:
• Violates intellectual property rights or privacy laws.
• Is unlawful, offensive, abusive, defamatory, or obscene.
• Is commercial in nature or promotes competing services.
• Maintain respectful behaviour toward all tutors and users.
• Ensure proper attendance and conduct throughout sessions.

Pediaverse reserves the right to suspend or terminate access to any user who breaches these terms.

3. Payment terms and account suspension

• All services must be paid for as at when due.
• Clients agree to pay the quoted amount for selected services. Payments will be processed automatically via our payment partners.
• Any delay in payment will result in an automatic account suspension. Our system and payment partners are enabled to flag accounts in default, and such accounts will be denied access to services until all outstanding balances are settled.
• Suspended accounts will be required to resubscribe to regain access to services.
• Pediaverse reserves the right to pursue further legal remedies for prolonged non-payment.

4. Cancellation, absence, and lateness policy

4.1. Student Cancellations

• Sessions may be cancelled at least 10 hours in advance at no charge.
• Cancellations made after this window or no-shows will be charged at full session rates.

4.2. Tutor Cancellations

• Tutors must notify students promptly and reschedule missed sessions at a mutually agreeable time.

4.3. Tutor Lateness

• Tutors arriving more than 5 minutes late must extend the session accordingly.
• For each additional minute beyond a 5-minute grace period, a 0.5% deduction from the tutor’s compensation may be applied.

5. Client obligations

Clients agree to:

• Ensure students attend sessions punctually and with the necessary materials.
• Avoid discussing unrelated personal matters with the tutor.
• Report any misconduct or inappropriate behaviour to Pediaverse Innovation Limited.
• Ensure respectful interaction with all platform users, especially tutors.
• For the most effective tutoring, parents are requested to facilitate an environment where students can complete assigned homework independently. This allows tutors to accurately gauge progress and pinpoint areas for focused support. Additionally, for tasks involving assembling projects or any activity that could potentially pose a danger, parental supervision is essential to ensure the child's safety

Physical misconduct or verbal abuse will result in immediate suspension or legal action.

6. Services for minors

If the student is a legal minor, the parent or guardian must accept these terms on the student’s behalf. They agree to:

• Supervise the student’s use of the platform,
• Assume full responsibility for compliance with these terms, and
• Be the primary contact for payment and communication.

7. Refund policy

Refunds may be granted under the following conditions:

• A technical issue or tutor unavailability prevents a scheduled session from occurring.
• A session is cancelled by Pediaverse without rescheduling.
• A refund request is submitted within 3 business days of the issue, subject to investigation.

Refunds will not be issued for no-shows, late cancellations, or dissatisfaction without substantiated claims.

8. Indemnity

By using the platform, you agree to indemnify, defend, and hold harmless Pediaverse Innovation Limited, its affiliates, employees, and representatives from any claims, losses, liabilities, damages, or expenses (including legal fees) arising out of your use of the services, breach of these terms, or violation of any applicable law.

9. Limitation of liability

Pediaverse shall not be liable for any indirect, incidental, consequential, or special damages arising from:

• Service interruptions,
• Technical failures,
• Student performance outcomes,
• Delays or inability to access services due to user’s internet or device issues.

10. Force majeure

Pediaverse is not liable for failure to perform its obligations due to circumstances beyond its control, including but not limited to acts of God, war, strikes, natural disasters, pandemics, internet outages, and government restrictions.

11. Amendments

We reserve the right to update or amend these Terms of Service at any time. Continued use of the platform constitutes acceptance of any revised terms. Clients will be notified of significant updates via email or dashboard notification.

By accessing or using any part of our platform or services, you acknowledge that you have read, understood, and agreed to be bound by these Terms of Service.
